In response to increased interest from investors for enhanced diversity disclosure on boards and in executive officer positions, the CSA has proposed enhanced new diversity disclosure requirements.
The Alberta Securities Commission hosted an information session on Thursday, June 15, 2023 to discuss the proposed amendments and explain the two approaches to diversity disclosure.
On April 13, 2023, the CSA published proposed amendments to Form 58-101F1 Corporate Governance Disclosure of National Instrument 58-101 Disclosure of Corporate Governance Practices and proposed changes to National Policy 58-201 Corporate Governance Guidelines. The proposal addresses the need for diversity disclosure beyond the representation of women to help inform investment decisions. The CSA has published two possible approaches to this disclosure and we are seeking your input on which approach would best encourage meaningful diversity disclosure respecting boards and executive officers.
This discussion is intended to explain the differences between the two CSA approaches, help answer your questions, and encourage you to provide feedback on this important topic. The comment period has been extended to September 29, 2023 (CSA Staff Notice 58-315 Extension of Comment Period).
